Andrea Cohen’s practice is centered around investments in private equity investment vehicles and their formation and the representation of investors and emerging technology companies in the clean technologies and life sciences sectors.
Ms. Cohen advises fund managers on matters relating to organization, offshore jurisdictional issues, ongoing operations and management, as well as with respect to structuring investments in venture and private-equity-backed companies.
A significant number of the investors Ms. Cohen counsels are public entities and funds of funds that require a thorough understanding of issues particular to them, such as ERISA, FOIA, and other regulatory matters and policy considerations.
Ms. Cohen represents investors in matters relating to private equity, general corporate, and securities law matters, including mergers and acquisitions, private equity, and venture capital and start-up and venture capital-backed clean technology and life sciences companies on formation, equity and debt financing, restructurings, board and management issues, licensing, mergers and acquisitions, and general corporate and commercial transactional matters.
